Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") form a legally binding agreement between you (and the organization you represent) and MFR Strategies, LLC ("Company," "we," "us"), the operator of HR Coop. By creating an account or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.

2. Description of service

HR Coop is a cloud-based HR operations platform designed for shift-based teams. It enables authorized users to track employee attendance, log coaching and disciplinary documentation, manage disciplinary pipelines, and generate reports. Access is provided via web browser and a mobile progressive web application.

3. Accounts and access

Access to HR Coop is granted to organizations ("subscribers") who register and maintain an active subscription. The subscribing organization designates one or more Operators (account administrators) who are responsible for managing user accounts, permissions, and data within the platform.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@hrcoop.com if you believe your account has been compromised.

You must be at least 18 years old and authorized to enter into contracts on behalf of your organization to create an account.

4. Subscription plans and billing

HR Coop is offered on the following subscription tiers:

  • Starter — $49/month. Includes 1 location and up to 50 employees.
  • Pro — $99/month. Includes up to 5 locations and unlimited employees.
  • Enterprise — Custom pricing. Includes unlimited locations, dedicated onboarding, and an SLA. Pricing agreed upon in writing before activation.

All plans begin with a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, a valid payment method is required to continue using the Service.

Subscriptions are billed monthly on the anniversary of your start date. Fees are non-refundable except as required by law or as described in Section 5 (cancellation). We reserve the right to change pricing with 30 days' written notice to account administrators.

Billing is processed by Stripe. By providing a payment method, you authorize us to charge recurring fees through Stripe in accordance with your chosen plan.

5. Cancellation and termination

By you: You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of the current billing period. You will retain access through that date.

By us: We reserve the right to suspend or terminate your account immediately if you violate these Terms, fail to pay amounts owed, or engage in conduct that could harm other users or the platform.

Upon termination, your data is retained for 90 days, during which you may request an export. After 90 days, all organization data is permanently deleted. We are not liable for data loss after this window.

6. Your data

You retain ownership of all data your organization submits to HR Coop, including employee records, attendance logs, and documentation. By using the Service, you grant MFR Strategies, LLC a limited license to store, process, and display your data solely to provide the Service.

You are solely responsible for ensuring that your collection and use of employee data complies with applicable employment laws, privacy regulations, and any applicable collective bargaining agreements. We are the data processor; you are the data controller.

7. Acceptable use

You agree not to use HR Coop to:

  • Violate any applicable law or regulation, including employment and privacy laws
  • Harass, discriminate against, or retaliate against employees in ways prohibited by law
  • Upload malicious code, viruses, or any harmful software
  • Attempt to gain unauthorized access to any part of the platform or other organizations' data
  • Reverse engineer, decompile, or copy the Service
  • Resell or sublicense access to the Service without our written consent

8. Availability and uptime

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, security updates, and events outside our control (including third-party infrastructure outages) may cause temporary unavailability. Enterprise subscribers with SLA agreements are governed by the terms of their written agreement.

9. Intellectual property

HR Coop, including its design, code, brand assets, and content, is the property of MFR Strategies, LLC and is protected by applicable intellectual property laws. These Terms do not grant you any rights in our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or meet your specific legal or compliance requirements.

11. Limitation of liability

To the maximum extent permitted by law, MFR Strategies, LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability to you for any claim arising under these Terms shall not exceed the fees you paid us in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MFR Strategies, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Hamilton County, Indiana, and you consent to personal jurisdiction in those courts.

14. Changes to these terms

We may modify these Terms at any time. For material changes, we will notify account administrators by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
